Daniel Zabludowski has more than thirty-five years of experience representing clients in the areas of corporate, business and commercial transactions, real estate, loan transactions, and domestic and offshore incorporations, including the formation and structuring of such entities on behalf of investors.
Mr. Zabludowski's business practice includes representing both sellers and purchasers involved in U.S. based and cross border commercial and business transactions, including mergers and acquisitions and in the sale and purchase of businesses. He also acts as general or special counsel, advising clients in a wide variety of planning issues including the formation, organization and structuring of business entities such as limited liability companies, corporations, partnerships and joint ventures. Mr. Zabludowski's practice also includes negotiating shareholder, commercial and operational agreements, employment and confidentiality agreements, franchise, distribution and licensing agreements.
Mr. Zabludowski counsels clients with respect to the legal and business aspects of operating, financing and expanding their businesses. He also acts as general or special counsel to closely held and family-owned businesses, advising clients in a wide variety of planning issues, including but not limited to negotiating the acquisition and disposition of businesses, organizing and planning new business ventures, restructurings and risk management.
Mr. Zabludowski routinely provides advice to clients with respect to issues relating to business ownership and succession planning.
Mr. Zabludowski also advises clients on a full range of general and internal business matters, including corporate governance, risk management, labor and employment matters and severance disputes, consulting and management arrangements, non-competition and confidentiality agreements and the protection of trade secrets and intellectual property rights.
In recent years, Mr. Zabludowski has become active in representing startup companies and the venture capital firms that support them. He works with an extensive network of institutional lenders, investment bankers and advisers, venture capital firms and private investors.
Mr. Zabludowski's real estate practice includes representing clients in the acquisition, leasing, financing and sale of commercial and residential real estate projects including hotel developments, shopping centers, office buildings, warehouses and apartment buildings. Additionally, Zabludowski handles real estate workouts including loan modifications, foreclosures and loan sales.
Zabludowski is actively involved in the Canadian-American Chamber of Commerce, French American Chamber of Commerce, and is a member of the Florida Bar's Banking and Business Law, Labor & Employment Law, International Law, Intellectual and Real Property, and Probate and Trust Sections.
Zabludowski is a member of the Florida Bar. He received his Juris Doctor in 1982 and his LL.M. in Real Property, Land Development and Finance Law in 1983 from the University of Miami. Zabludowski earned his Bachelor’s Degree from Concordia University, Quebec, Canada in 1977
